A Manhattan federal judge has ruled that conversations with consumer AI chatbots are not protected by attorney-client privilege, creating the first major judicial precedent on AI tools and confidential communications.
Judge Jed Rakoff’s written opinion from 17 February in United States v. Heppner ordered the disclosure of materials that defendant Bradley Heppner had prepared using Anthropic’s Claude chatbot. Heppner, the former chair of bankrupt financial services company GWG Holdings, had used Claude to prepare reports about his securities fraud case that he intended to share with his lawyers.
Prosecutors successfully argued that Heppner’s AI conversations should be discoverable, despite his claim that they were part of privileged attorney-client communications.
The ruling has prompted immediate responses from major law firms. Kobre & Kim, Debevoise & Plimpton, and Sher Tremonte have all issued urgent warnings to clients about using third-party AI platforms for privileged communications. Many firms are now updating engagement letters to explicitly state that sharing confidential information with consumer AI tools may constitute a waiver of privilege.
The decision creates a clear divide between consumer AI tools and the established framework of attorney-client privilege. Unlike human consultants or expert witnesses, who can be brought within the privilege through proper engagement structures, consumer AI platforms operate under terms of service that typically allow the provider to access and potentially use submitted content.
This poses practical challenges for legal professionals who have increasingly turned to AI tools for research, document drafting, and case analysis. The convenience of consumer chatbots comes with a privilege cost that many practitioners may not have fully considered.
Some firms are now recommending that clients only use enterprise-level AI systems with contractual confidentiality protections, though it remains unclear whether such arrangements would receive different treatment from courts. The distinction between consumer and enterprise AI tools in privilege analysis is likely to become a significant area of legal development.
The ruling also highlights the need for clearer guidance on when AI assistance constitutes work done “at a lawyer’s direction” versus independent client activity. Heppner’s use of Claude appears to have been characterised as the latter, but the boundaries of this distinction will require further judicial clarification.
For now, the safest approach appears to be treating any use of consumer AI tools as potentially discoverable, regardless of the intended purpose or subsequent legal review. This represents a significant constraint on how legal professionals can integrate AI into their practice without compromising client confidentiality.
The decision may accelerate adoption of purpose-built legal AI tools with stronger privacy protections, though these typically come with higher costs and may be less accessible to smaller practices and individual clients.
